1. Introduction
These Terms of Use govern access to and use of IdeasIQ.ai, including our website, platform, AI-enabled services, innovation workflows, idea-management tools, evaluation systems, analytics, reports, integrations, APIs, professional services, and related offerings.
By accessing or using IdeasIQ.ai, creating an account, submitting an idea, participating in an innovation program, using our AI features, or entering into an order form, statement of work, pilot, trial, or subscription, you agree to these Terms.
If you are using IdeasIQ.ai on behalf of a company, institution, government body, or other organization, you represent that you have authority to bind that organization. In that case, “Customer,” “you,” and “your” refer to that organization and its authorized users.
If you do not agree to these Terms, you must not access or use IdeasIQ.ai.
2. Definitions
For the purpose of these Terms:
- “IdeasIQ.ai,” “we,” “us,” or “our” means the entity operating IdeasIQ.ai and its related services.
- “Customer” means the organization subscribing to, purchasing, trialing, or otherwise using the Services.
- “Authorized User” means an employee, contractor, partner, judge, mentor, advisor, administrator, participant, or other individual authorized by the Customer to use the Services.
- “Services” means the IdeasIQ.ai platform, website, applications, AI tools, APIs, integrations, analytics, reports, workflows, support, professional services, and related offerings.
- “Customer Data” means data, content, files, documents, prompts, ideas, nominations, comments, evaluations, scores, workflows, business cases, financial assumptions, user data, and other material submitted to or processed through the Services by or on behalf of Customer or its Authorized Users.
- “Idea Submissions” means ideas, proposals, nominations, problem statements, use cases, innovation concepts, supporting evidence, business cases, or other submissions made through the Services.
- “AI Features” means AI, generative AI, large language model, machine learning, scoring, summarization, recommendation, automation, agentic, analytics, classification, retrieval, embedding, or other intelligent features made available through the Services.
- “AI Output” means content generated, recommended, scored, summarized, classified, ranked, drafted, or otherwise produced by AI Features.
- “Order Form” means an ordering document, proposal, online plan, purchase order, subscription form, statement of work, or other written agreement referencing these Terms.
- “Professional Services” means consulting, onboarding, configuration, training, design, implementation, managed innovation support, advisory, integration, or other services provided by IdeasIQ.ai.
- “Confidential Information” means non-public business, technical, financial, product, strategic, customer, user, platform, pricing, security, or operational information disclosed by one party to the other that is marked confidential or should reasonably be understood as confidential.
3. Use of the Services
Subject to these Terms and the applicable Order Form, IdeasIQ.ai grants Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Services during the subscription term solely for Customer’s internal business, innovation, transformation, research, evaluation, or approved external innovation programs.
Customer is responsible for:
- Ensuring that Authorized Users comply with these Terms.
- Maintaining accurate account and billing information.
- Keeping login credentials secure.
- Controlling user access and permissions.
- Ensuring Customer Data is accurate, lawful, and authorized.
- Obtaining necessary consents, notices, approvals, and rights before submitting or connecting data.
- Reviewing AI Output before relying on it.
- Using the Services in compliance with applicable laws and internal policies.
Each account is for a designated user and may not be shared unless expressly permitted by the applicable plan or Order Form.
4. Order Forms and Subscription Terms
Services may be purchased through an Order Form, online checkout, proposal, statement of work, or other approved commercial document.
The Order Form may specify:
- Subscription term.
- Fees and payment terms.
- Number or type of users.
- Workspace, program, or usage limits.
- Modules or features included.
- Professional Services scope.
- Support plan.
- Data-retention or hosting terms.
- Special security or compliance requirements.
- Any customer-specific terms.
If there is a conflict between these Terms and an executed Order Form, the Order Form will control for that specific transaction.
5. Trials, Pilots, Beta Features, and Proofs of Concept
IdeasIQ.ai may offer free trials, pilots, beta features, early-access tools, proofs of concept, or experimental AI capabilities.
Unless otherwise agreed in writing:
- Trial and beta services are provided “as is.”
- They may be modified, suspended, or discontinued at any time.
- They may not include all security, availability, support, or retention commitments of paid services.
- Data entered during a trial may be deleted after the trial ends unless a paid subscription is purchased or export is requested before expiry.
- Beta AI Features may produce inaccurate, incomplete, or unstable outputs and should not be used for final business decisions without human review.
6. Acceptable Use
You may not use the Services to:
- Violate any applicable law, regulation, contract, privacy obligation, intellectual-property right, or third-party right.
- Upload unlawful, defamatory, abusive, obscene, discriminatory, harassing, hateful, exploitative, or misleading content.
- Upload malware, viruses, harmful code, spyware, ransomware, or destructive files.
- Attempt unauthorized access to systems, accounts, data, or networks.
- Interfere with platform security, integrity, availability, or performance.
- Reverse engineer, decompile, copy, scrape, benchmark, or build a competing service using the Services, except as permitted by law.
- Share login credentials or bypass access controls.
- Use the Services for spam, phishing, fraud, impersonation, or deceptive practices.
- Submit sensitive personal data unless authorized and necessary for the relevant use case.
- Use AI Features to make unlawful, discriminatory, deceptive, or harmful decisions.
- Use AI Output as the sole basis for employment, credit, insurance, healthcare, legal, financial, or similarly high-impact decisions.
- Use the platform to generate or distribute infringing, malicious, unsafe, or unlawful AI-generated content.
- Perform penetration testing, vulnerability scanning, load testing, or security testing without prior written approval.
We may suspend or restrict access if we reasonably believe there is a violation of these Terms, a security risk, legal risk, or misuse of the Services.
7. AI Features and LLM Usage
IdeasIQ.ai uses AI and LLM-based capabilities to support innovation workflows, including idea improvement, scoring, summarization, deduplication, trend detection, evidence discovery, business-case drafting, financial-model support, recommendation of evaluation parameters, and decision-support analytics.
AI Features are designed to assist human users. They do not replace professional judgment, executive decision-making, legal review, financial review, domain expertise, or organizational governance.
Customer acknowledges that AI Output may be:
- Incorrect, incomplete, outdated, biased, or contextually inappropriate.
- Similar or identical to output generated for other users where common prompts or generic inputs are used.
- Dependent on the quality, completeness, and lawfulness of Customer Data.
- Unsuitable for high-impact decisions without human review.
Customer is responsible for reviewing, validating, approving, and using AI Output.
8. AI Data Use and Model Training
Customer owns and controls its Customer Data.
Unless expressly agreed in writing:
- IdeasIQ.ai will not use Customer Data, Idea Submissions, prompts, documents, enterprise content, or AI Outputs to train public or general-purpose AI models.
- IdeasIQ.ai will not permit third-party LLM providers to use Customer Data to train their general-purpose models.
- Customer Data will be processed to provide, secure, support, troubleshoot, and improve the contracted Services.
- IdeasIQ.ai may use aggregated, anonymized, or de-identified telemetry and usage patterns to improve platform performance, security, reliability, and product experience, provided such information does not identify Customer, Authorized Users, or confidential Customer Data.
Customer may choose to opt into custom model tuning, customer-specific AI improvement, domain model configuration, benchmarking, or advanced AI services under separate written terms.
9. AI Output Ownership
As between IdeasIQ.ai and Customer, Customer owns Customer Data and, to the extent permitted by applicable law and subject to these Terms, Customer owns or may use AI Output generated from Customer Data for its internal business purposes.
IdeasIQ.ai does not claim ownership of Customer’s Idea Submissions or Customer Data.
However, IdeasIQ.ai retains ownership of:
- The platform.
- Software.
- AI workflows.
- Models, orchestration logic, system prompts, scoring frameworks, templates, taxonomies, product designs, analytics methods, algorithms, user interface, documentation, and know-how.
- General improvements, learnings, and product capabilities that do not disclose Customer Data or Confidential Information.
Customer is responsible for determining whether AI Output is protectable, usable, accurate, non-infringing, and appropriate for its intended purpose.
10. Idea Submissions and Innovation Programs
IdeasIQ.ai may be used for internal innovation programs, open innovation campaigns, awards, hackathons, challenges, nominations, evaluations, and idea-to-impact workflows.
Unless otherwise agreed between Customer and its participants:
- Customer is responsible for setting the rules of each innovation program.
- Customer determines who may submit, view, evaluate, approve, reject, fund, or implement ideas.
- Customer determines ownership, reward, recognition, confidentiality, and IP treatment of Idea Submissions.
- IdeasIQ.ai is not responsible for disputes between Customer and participants regarding idea ownership, rewards, attribution, evaluation, selection, or implementation.
- Participants should not submit confidential third-party information or intellectual property unless authorized.
For public or external programs, Customer must provide appropriate participant terms, consent language, eligibility rules, privacy notices, and IP rules.
11. Enterprise Connectors and Third-Party Integrations
Customer may choose to connect IdeasIQ.ai with third-party systems such as Microsoft 365, Google Workspace, Slack, Teams, CRM systems, project-management tools, file repositories, knowledge bases, support platforms, or other enterprise applications.
Customer is responsible for:
- Authorizing integrations.
- Selecting access scopes.
- Ensuring it has rights to connect and process the relevant data.
- Configuring permissions appropriately.
- Reviewing third-party terms and privacy practices.
- Maintaining security of connected systems.
- Disabling integrations when no longer required.
IdeasIQ.ai is not responsible for third-party services, outages, data handling, changes, or security incidents outside our control.
12. Customer Data
Customer represents and warrants that:
- It has all necessary rights, consents, permissions, and legal bases to submit Customer Data to the Services.
- Customer Data does not violate law, third-party rights, confidentiality obligations, or internal policies.
- Customer Data is not intentionally misleading, unlawful, malicious, or infringing.
- Customer will not submit regulated or sensitive data unless permitted by the applicable Order Form and law.
IdeasIQ.ai may access Customer Data only as necessary to:
- Provide the Services.
- Operate AI Features.
- Provide support and troubleshooting.
- Maintain security and prevent abuse.
- Comply with law.
- Fulfil contractual obligations.
- Improve the Services in anonymized or aggregated form, where permitted.
13. Data Protection and Privacy
Use of the Services is also governed by the IdeasIQ.ai Privacy Policy and, where applicable, a Data Processing Agreement.
Where IdeasIQ.ai processes personal data on behalf of Customer, IdeasIQ.ai acts as a processor/service provider/data processor and Customer acts as controller/business/data fiduciary, unless otherwise stated in writing.
Customer is responsible for:
- Providing privacy notices to Authorized Users and participants.
- Obtaining consent where required.
- Responding to individual rights requests where Customer controls the data.
- Ensuring lawful basis for processing.
- Avoiding unnecessary sensitive personal data.
- Complying with applicable privacy and data-protection laws.
14. Security
IdeasIQ.ai will maintain commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Data against unauthorized access, loss, misuse, alteration, or disclosure.
Security measures may include encryption, access controls, audit logs, vulnerability management, secure development practices, monitoring, backup controls, vendor diligence, and incident-response processes.
Customer is responsible for securing its accounts, devices, identity providers, integrations, permissions, and user practices.
No system is completely secure. IdeasIQ.ai does not guarantee that unauthorized third parties will never defeat security measures.
15. Support and Availability
Support and service availability will be provided according to the applicable Order Form, support plan, service-level agreement, or documentation.
IdeasIQ.ai may perform maintenance, upgrades, patches, or changes to the Services. We will use commercially reasonable efforts to minimize disruption.
The Services may be unavailable due to maintenance, internet failures, third-party service failures, customer-side systems, force majeure events, security incidents, or circumstances beyond our reasonable control.
16. Professional Services
IdeasIQ.ai may provide Professional Services such as consulting, onboarding, configuration, workflow design, AI use-case design, implementation support, training, innovation governance, data-mapping, custom reports, and advisory services.
Unless otherwise agreed:
- Professional Services are governed by the applicable Order Form or statement of work.
- Customer will provide timely access, information, approvals, data, stakeholders, and decisions.
- Delays caused by Customer may affect timelines and fees.
- Unused service hours may expire as stated in the Order Form.
- Deliverables are for Customer’s internal use only.
IdeasIQ.ai retains ownership of pre-existing tools, templates, methodologies, frameworks, software, AI workflows, know-how, and reusable components. Customer owns Customer Data and Customer-provided materials.
17. Fees, Payment, and Taxes
Customer will pay all fees stated in the applicable Order Form.
Unless otherwise agreed:
- Fees are non-cancellable and non-refundable.
- Invoices are payable according to the payment terms stated in the Order Form.
- Late payments may result in suspension of Services.
- Customer is responsible for applicable taxes, duties, levies, withholding, and similar charges, excluding taxes based on IdeasIQ.ai’s income.
- Usage beyond contracted limits may require additional fees or plan upgrades.
- Subscription renewals may be subject to revised pricing with prior notice.
18. Confidentiality
Each party may receive Confidential Information from the other.
The receiving party will:
- Use Confidential Information only for purposes of the agreement.
- Protect it using reasonable care.
- Not disclose it except to employees, contractors, advisors, affiliates, or service providers who need to know and are bound by confidentiality obligations.
- Return or delete it upon request, subject to legal or backup-retention obligations.
Confidentiality obligations do not apply to information that:
- Is publicly available without breach.
- Was already known lawfully.
- Is independently developed without use of Confidential Information.
- Is lawfully received from a third party.
- Must be disclosed by law, provided the receiving party gives notice where legally permitted.
19. Intellectual Property
IdeasIQ.ai and its licensors retain all rights in the Services, including software, platform design, AI workflows, models, prompts, scoring logic, algorithms, APIs, documentation, interfaces, branding, templates, analytics methods, and related intellectual property.
Customer retains rights in Customer Data, Idea Submissions, Customer materials, and Customer Confidential Information.
Customer grants IdeasIQ.ai a limited license to host, process, transmit, display, analyze, and use Customer Data solely to provide, secure, support, and improve the Services as permitted by these Terms.
Customer may provide feedback, suggestions, or recommendations. IdeasIQ.ai may use such feedback without restriction or obligation, provided it does not disclose Customer Confidential Information.
20. Publicity
IdeasIQ.ai may not use Customer’s name, logo, or trademarks in public marketing without Customer’s prior written consent, unless otherwise agreed in an Order Form.
Customer may not use IdeasIQ.ai’s name, logo, or trademarks without prior written consent, except to identify IdeasIQ.ai as a service provider in ordinary internal business communications.
21. Warranties
Each party represents that it has authority to enter into these Terms.
IdeasIQ.ai warrants that it will provide the Services in a professional and workmanlike manner consistent with commercially reasonable industry standards.
Customer warrants that it has the rights and authority to provide Customer Data and use the Services.
Except as expressly stated, the Services, AI Features, AI Output, trials, beta features, and third-party integrations are provided “as is” and “as available.”
IdeasIQ.ai disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted availability, and error-free operation.
22. AI-Specific Disclaimers
IdeasIQ.ai does not warrant that AI Output will be accurate, complete, unique, lawful, non-infringing, bias-free, explainable, or suitable for any particular purpose.
AI Output should not be treated as legal, financial, tax, medical, employment, regulatory, investment, or professional advice.
Customer is responsible for human review, validation, approval, and use of AI Output.
IdeasIQ.ai is not liable for decisions made solely or primarily based on AI Output without appropriate human oversight.
23. Indemnity
Customer will defend, indemnify, and hold harmless IdeasIQ.ai from claims arising out of:
- Customer Data.
- Customer’s use of the Services in violation of these Terms.
- Customer’s violation of law or third-party rights.
- Customer’s innovation program rules, rewards, judging, participant disputes, or IP disputes.
- Unauthorized use of connected systems or data.
- Customer’s reliance on AI Output without appropriate review.
IdeasIQ.ai will defend Customer against third-party claims alleging that the core Services, as provided by IdeasIQ.ai and used according to these Terms, infringe that third party’s intellectual-property rights. IdeasIQ.ai’s indemnity obligations do not apply to claims arising from:
- Customer Data.
- Customer modifications.
- Third-party integrations.
- Use outside the documentation or agreement.
- Combination with non-IdeasIQ.ai products.
- Beta or free services.
- AI Output where the claim arises from Customer prompts, Customer Data, or Customer’s use of the output.
24. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, including loss of revenue, goodwill, business opportunity, data, or anticipated savings.
Except for excluded claims, each party’s total liability under these Terms will not exceed the fees paid or payable by Customer to IdeasIQ.ai for the Services giving rise to the claim during the twelve months before the event giving rise to liability.
This limitation does not apply to:
- Payment obligations.
- Confidentiality breaches.
- Misuse of intellectual property.
- Indemnity obligations.
- Fraud, willful misconduct, or gross negligence.
- Liability that cannot be limited under applicable law.
25. Suspension
IdeasIQ.ai may suspend access to the Services if:
- Customer fails to pay undisputed fees.
- Customer or its users violate these Terms.
- Use of the Services creates a security, legal, or operational risk.
- Customer exceeds usage limits and does not resolve the issue.
- Suspension is required by law or a third-party service provider.
Where practical, IdeasIQ.ai will provide notice and an opportunity to cure before suspension, unless immediate action is required.
26. Term and Termination
These Terms remain in effect while Customer uses the Services or has an active Order Form.
Either party may terminate for material breach if the breach is not cured within 30 days after written notice, unless the breach is incapable of cure.
Upon termination or expiry:
- Customer’s access to the Services will end.
- Customer must pay all outstanding fees.
- IdeasIQ.ai will make Customer Data available for export for a reasonable period if required by the Order Form.
- IdeasIQ.ai may delete Customer Data after the applicable retention period.
- Confidentiality, payment, IP, disclaimers, limitations of liability, indemnity, and other provisions intended to survive will survive.
27. Data Export and Deletion
Upon termination, Customer may request export of Customer Data within the period stated in the Order Form or documentation.
After the export period, IdeasIQ.ai may delete or anonymize Customer Data, unless retention is required by law, audit, backup, dispute, security, or contractual obligations.
Backup copies may persist for a limited period before secure deletion under standard backup cycles.
28. Third-Party Services
The Services may include or interoperate with third-party services, AI providers, hosting providers, analytics providers, payment providers, identity providers, integrations, APIs, or data sources.
Third-party services are governed by their own terms and privacy policies. IdeasIQ.ai is not responsible for third-party services or their acts, omissions, data practices, availability, or security.
29. Compliance with Laws
Customer must comply with all applicable laws, including laws related to privacy, data protection, intellectual property, employment, anti-corruption, export controls, sanctions, competition, consumer protection, AI governance, and sector-specific regulations.
Customer may not use the Services in embargoed countries or by prohibited persons under applicable sanctions or export-control laws.
30. High-Risk Use
The Services are not designed for use in life-critical systems, emergency response, medical diagnosis, legal adjudication, credit decisions, insurance underwriting, employment termination, public-benefit eligibility, or other high-risk decisions without independent expert review and appropriate contractual safeguards.
Customer agrees not to use the Services for such high-risk purposes unless expressly agreed in writing.
31. Changes to the Services
IdeasIQ.ai may improve, modify, update, or discontinue features from time to time.
We will not materially reduce core paid functionality during a subscription term without reasonable notice, unless required for security, legal, technical, or third-party reasons.
New features may be subject to additional terms or fees.
32. Changes to These Terms
IdeasIQ.ai may update these Terms from time to time. Material changes will be notified through the website, platform, email, or other reasonable means.
Updated Terms will apply from the effective date stated in the notice or posted version. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
33. Governing Law and Dispute Resolution
These Terms will be governed by the laws specified in the applicable Order Form.
If no governing law is specified, these Terms will be governed by the laws of India, and courts in New Delhi, India will have exclusive jurisdiction, unless otherwise required by applicable law.
The parties will first attempt to resolve disputes through good-faith executive-level discussions before initiating formal proceedings, except where urgent injunctive relief is required.
34. Force Majeure
Neither party will be liable for delay or failure to perform due to events beyond reasonable control, including natural disasters, war, terrorism, civil unrest, labor disruptions, internet or cloud-provider failures, cyberattacks, government action, epidemic, pandemic, power failure, or other force majeure events.
Payment obligations are not excused by force majeure.
35. Notices
Notices to IdeasIQ.ai must be sent to:

Notices to Customer may be sent to the account owner, billing contact, administrator, or email address provided in the Order Form.
36. Entire Agreement
These Terms, together with the applicable Order Form, Privacy Policy, Data Processing Agreement, Acceptable Use Policy, AI Usage Policy, Security terms, and any referenced documents, constitute the entire agreement between the parties regarding the Services.
They supersede prior or contemporaneous agreements, proposals, representations, or understandings relating to the Services.
